End User License Agreement

The licence you accept to use the SketchWeave application, when you create your account. It sits alongside our Terms of Service and Privacy Policy.

This End User License Agreement (the "Agreement") is a legal agreement between you and SketchWeave ("SketchWeave", the "Software Provider", "we", "us", or "our"), the sole proprietorship that develops and operates the SketchWeave application (the "Software" or "Service"). By selecting "I Agree", or by accessing or using the Software, you agree to be bound by this Agreement. If you do not agree, select "Decline" and do not use the Software.

1. License grant

Subject to your compliance with this Agreement and, where applicable, payment of the fees for your plan, the Software Provider grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own internal or professional purposes. If you use the Software on behalf of an organization, you represent that you are authorized to accept this Agreement on its behalf.

2. Restrictions

You agree that you will not, and will not permit anyone else to:

  • copy, modify, or create derivative works of the Software, except as expressly allowed;
  • reverse engineer, decompile, or attempt to derive the source code of the Software, except to the extent this restriction is prohibited by law;
  • rent, lease, lend, sell, sublicense, or otherwise provide the Software to third parties, except as expressly allowed;
  • remove or obscure any proprietary notices, or use our name or marks without permission;
  • access the Software to build a competing product, or probe, scan, overload, or circumvent its security or access controls;
  • use the Software in violation of any applicable law or the rights of others.

3. Your content

You retain all rights to the content you create or upload, including your sheets, views, drawings, sketches, and files ("Your Content"). You grant us a limited license to host, store, copy, transmit, and display Your Content solely to operate and provide the Software to you and the members you share it with, and to make backups. You are responsible for Your Content and for having the rights necessary to upload and use it.

You will not use the Software, including its data storage, to store, upload, share, or transmit any content that is illegal or unlawful, or that infringes the rights of others. We do not review Your Content and are not responsible for it, but we may remove it or suspend your access if we reasonably believe it breaks this Agreement or the law.

4. Ownership

The Software is licensed, not sold. The Software Provider and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to our trademarks or branding. Feedback you choose to provide may be used by us without obligation to you.

5. Plans, fees, and free levels

Some features require a paid subscription; current plans and prices are shown in the Software at the time of purchase. Paid subscriptions renew automatically until cancelled, and payments are processed by our payment provider. Free levels are provided as is and may be subject to usage limits. Fuller billing terms are set out in our Terms of Service.

6. Privacy

Your use of the Software is also governed by our Privacy Policy, which explains what information we collect and how we handle it, including under Canada's Personal Information Protection and Electronic Documents Act (PIPEDA). By using the Software you acknowledge that Privacy Policy.

7. Third-party services

The Software can connect to third-party services you choose to enable, such as Autodesk Forma. Your use of those services is governed by their own terms, and we are not responsible for them. Enabling an integration authorizes us to exchange the data needed to make it work on your behalf.

8. Term and termination

This Agreement applies while you use the Software. We may suspend or terminate your license if you breach it, if required by law, or to protect the Software or other users. You may stop using the Software at any time. On termination, the rights granted to you end; sections that by their nature should survive (including ownership, disclaimers, indemnification, limitation of liability, and governing law) survive.

9. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure. You are responsible for maintaining your own copies of critical drawings and records.

10. Limitation of liability

To the maximum extent permitted by law, the Software Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Software will not exceed the greater of the amount you paid us for the Software in the twelve months before the event giving rise to the claim, or twenty Canadian dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You are responsible for how you use the Software. You agree to defend, indemnify, and hold harmless the Software Provider from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to Your Content, your use of the Software, or your breach of this Agreement, any law, or the rights of others.

12. Governing law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Ontario, Canada have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, unless otherwise required by mandatory law in your place of residence.

13. Changes to this Agreement

We may update this Agreement from time to time. When we make material changes, we will ask you to review and accept the updated Agreement before you continue using the Software.
