Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the SketchWeave websites and the application at sketchweave.app (together, the "Service"), provided by Formaic ("Formaic", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. The Service

SketchWeave is a visual workspace for planning and assembling drawing sets, including sheets and views, references between them, a reusable sketch library, and optional integrations such as Autodesk Forma sync. We may add, change, or remove features over time. We aim to give reasonable notice of significant changes that reduce core functionality.

3. Accounts

You need an account to use most of the Service. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Notify us promptly if you believe your account has been compromised. You must be at least 16 years old, or the age of digital consent in your country, to use the Service.

4. Organizations, members, and roles

An organization workspace can have multiple members with different roles and access. The organization and its administrators are responsible for managing their members, the projects in their workspace, and the content those members add. If you join an organization, an administrator of that organization may manage or remove your access and the content associated with it.

5. Plans, billing, and renewals

• Paid plans. Some features require a paid subscription. Current plans and prices are shown on our pricing page and in the application at the time of purchase.
• Payments. Payments are processed by our payment provider, Stripe. By subscribing you authorize us and Stripe to charge your payment method for the applicable fees.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current period.
• Seats. Team plans are billed per seat. Adding seats may result in prorated charges; removing seats takes effect according to your billing settings.
• Taxes. Fees are exclusive of taxes unless stated. You are responsible for any applicable taxes.
• Refunds. Except where required by law, payments are non-refundable. If you believe you were charged in error, contact us.
• Changes. We may change prices or plans. We will give reasonable notice, and changes to recurring fees take effect on your next billing period.

6. Your content

You retain all rights to the content you create or upload to the Service, including your sheets, views, drawings, sketches, and files ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, copy, transmit, and display Your Content solely to operate and provide the Service to you and the members you share it with, and to make backups. You are responsible for Your Content and for having the rights needed to upload it.

7. Acceptable use

You agree not to:

• Break the law or infringe anyone's intellectual property or other rights.
• Upload malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service, including probing, scanning, or overloading it.
• Reverse engineer, resell, or provide the Service to third parties except as expressly allowed.
• Use the Service to store or transmit content that is unlawful, harmful, or violates the rights of others.

8. Third-party services

The Service can connect to third-party services you choose to enable, such as Autodesk Forma. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Enabling an integration authorizes us to exchange the data needed to make it work on your behalf.

9. Our intellectual property

The Service, including its software, design, and branding, is owned by Formaic and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to the Service except the limited right to use it as permitted here. If you send us feedback or suggestions, we may use them without obligation to you.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. We will make Your Content available for a reasonable period where practical, after which it may be deleted in line with our retention practices.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. You are responsible for maintaining your own copies of critical drawings and records.

12. Limitation of liability

To the maximum extent permitted by law, Formaic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold Formaic harmless from claims, damages, and expenses arising out of your use of the Service, Your Content, or your breach of these Terms, to the extent permitted by law.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Ontario, Canada have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, unless otherwise required by mandatory law in your place of residence.
